This Household Services and Confidentiality Agreement (the "Agreement") is entered into on [DATE] (the "Effective Date") by and between:
EMPLOYER / PRINCIPAL: [FULL LEGAL NAME], residing at [HOME ADDRESS] ("Principal"), on behalf of themselves, their spouse Sophie Ma Yan, their children, other household members, and their affiliated companies and entities (collectively, the "Protected Parties"); and
HOUSEKEEPER: [HOUSEKEEPER FULL LEGAL NAME], residing at [ADDRESS] (the "Housekeeper").
Principal and Housekeeper are each a "Party" and collectively the "Parties."
PART I — ENGAGEMENT AND DUTIES
1. Engagement
Principal engages Housekeeper to provide household services at Principal's residence at [HOME ADDRESS] (the "Residence") on the terms below. The Parties designate this relationship as:
☐ Household Employee (W-2 / payroll) ☐ Independent Contractor (1099)
[Classification should be confirmed with a tax/employment attorney; most recurring in-home workers are legally employees in the U.S.]
2. Reporting
Housekeeper reports to Sophie Ma Yan for all day-to-day household matters, including scheduling, task priorities, and performance. Sophie Ma Yan has authority to direct Housekeeper's work within the scope of this Agreement.
3. Duties
Housekeeper shall perform the following services in a professional, honest, and diligent manner, meeting a standard of excellence:
(a) Cleaning — thorough cleaning of all living areas, kitchen, bathrooms, bedrooms, floors, surfaces, appliances, and fixtures as reasonably directed.
(b) Laundry and Washing — washing, drying, ironing, folding, and putting away household laundry; hand-washing delicates as required; dishwashing and kitchen cleanup.
(c) Cooking and Meal Preparation — preparing proper, wholesome meals using ingredients provided by the household:
- Weekdays: meals for 2 persons.
- Weekends (beginning Friday through Sunday): meals for 5 persons.
Menus, dietary restrictions, and portion sizes shall be coordinated with Sophie Ma Yan.
(d) Additional Tasks — other reasonable household tasks agreed between Housekeeper and Sophie Ma Yan from time to time (e.g., light shopping, receiving deliveries).
4. Schedule
Housekeeper shall work on Tuesdays and Fridays, with specific start and end times to be mutually agreed with Sophie Ma Yan and reviewed as needed. Approximate hours per workday: [___] hours.
Any change to the schedule requires at least [24 / 48] hours advance notice from the Party requesting the change, except in emergencies.
5. Standards of Performance
Housekeeper agrees to:
(a) arrive punctually and ready to work; (b) maintain a neat, professional appearance; (c) handle all household property, food, and belongings with care; (d) immediately report any damage, accident, injury, or loss; (e) follow all reasonable household rules, including those concerning security, pets, and children; (f) refrain from bringing guests, children, or unauthorized persons to the Residence; (g) refrain from using alcohol, drugs, or being impaired during work hours; (h) not use personal mobile devices for non-urgent purposes during active duties.
6. Compensation
(a) Service Fee. Principal shall pay Housekeeper $[___] per [hour / workday / month] as full compensation for labor and services under this Agreement (the "Service Fee"). The Service Fee is inclusive of all labor charges; no additional hourly, travel, or service surcharge is payable unless agreed in writing.
(b) Payment Schedule. Payment shall be made [weekly / biweekly / monthly], by [check / bank transfer], on [day of week / date].
(c) Expenses. Ingredients, supplies, and cleaning products shall be provided by Principal. If Housekeeper purchases supplies at Principal's request, Principal shall reimburse documented expenses within [7] days of presentation of receipts.
(d) Taxes. If classified as a household employee, Principal shall withhold and pay applicable taxes as required by law. If classified as an independent contractor, Housekeeper is solely responsible for all self-employment taxes.
(e) Overtime / Holidays. Any work beyond scheduled hours, or on public holidays, requires Sophie Ma Yan's prior approval and shall be compensated at [1.0× / 1.5×] the standard rate, subject to applicable law.
7. Term and Termination
(a) Term. This Agreement begins on the Effective Date and continues until terminated.
(b) Termination. Either Party may terminate this Agreement with [two (2) weeks'] written notice. Principal may terminate immediately without notice for cause, including theft, dishonesty, breach of confidentiality, unsafe conduct, or repeated failure to meet performance standards.
(c) Final Pay. Upon termination, Principal shall pay Housekeeper all earned and unpaid Service Fees through the last day worked, within the time required by applicable law.
8. Property, Keys, and Access
Housekeeper shall safeguard any key, access card, code, or device entrusted to her, not duplicate them, and return them immediately upon termination or request.
PART II — CONFIDENTIALITY AND NON-DISCLOSURE
9. Definition of Confidential Information
Housekeeper will be exposed to highly sensitive information by virtue of her access to the Residence and family. "Confidential Information" means any non-public information Housekeeper learns, observes, overhears, accesses, or otherwise acquires before, during, or after this engagement, including:
(a) Family & Personal Information — any information concerning Principal, Principal's spouse Sophie Ma Yan, Principal's children (names, ages, schools, activities, friends, medical conditions, photographs, and images), extended family, household staff, guests, and visitors; their appearance, routines, schedules, travel plans, communications, relationships, arguments, health, religious or political views, and personal habits.
(b) Home & Security Information — layout and contents of the Residence, alarm codes, safe combinations, passwords, Wi-Fi credentials, surveillance systems, keys, access procedures, vehicles, and valuables.
(c) Financial Information — bank accounts, credit cards, statements, bills, tax documents, investments, trusts, wills, estate plans, real-estate holdings, and any figures or records observed on papers, screens, or mail.
(d) Business & Company Information — documents, files, contracts, emails, client lists, vendor lists, pricing, strategies, trade secrets, intellectual property, or other business information of any company owned, controlled, advised, or associated with any Protected Party, whether marked confidential or not.
(e) Communications — the contents of any conversation, phone call, text, email, letter, meeting, or video that Housekeeper overhears, sees, or participates in on the premises or in connection with the engagement.
(f) Media — any photograph, video, audio recording, or written description of any Protected Party, the Residence, or its contents.
Confidential Information does not include information lawfully in the public domain through no fault of Housekeeper.
10. Housekeeper's Confidentiality Obligations
Housekeeper shall:
(a) hold all Confidential Information in strict confidence and not disclose it to any third party, including family, friends, journalists, social-media contacts, or future employers; (b) not use Confidential Information for any purpose other than performing duties under this Agreement; (c) not photograph, film, audio-record, livestream, or otherwise capture any Protected Party, the Residence, its contents, or any document without Principal's prior written consent; (d) not post, publish, comment on, or reference any Protected Party or Confidential Information on any social-media platform, blog, podcast, interview, book, or any other medium, whether attributed or anonymous; (e) not remove any document, device, or item containing Confidential Information from the Residence except as required by duties and authorized; (f) not discuss Principal's family or business with other household staff beyond what is strictly necessary to perform duties; (g) immediately report to Principal any suspected breach, loss, or unauthorized access; (h) comply with all reasonable security and privacy procedures established by Principal.
11. Duration of Obligations
Housekeeper's confidentiality obligations begin on the Effective Date and continue indefinitely, surviving termination for any reason. Trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.
12. Return of Materials
Upon termination, or at Principal's request at any time, Housekeeper shall immediately return every key, access card, device, document, file, photograph, recording, note, and copy (in any form, including digital) containing or reflecting Confidential Information, and shall permanently delete any digital copies.
13. Remedies
(a) Irreparable Harm. Housekeeper acknowledges that a breach would cause irreparable harm for which monetary damages alone are inadequate. Principal is entitled to seek injunctive relief and specific performance, in addition to any other remedy, without posting a bond.
(b) Liquidated Damages. Actual damages for a breach would be difficult to calculate. Housekeeper agrees to pay liquidated damages of $[AMOUNT — e.g., 25,000 to 100,000] per material breach, as a reasonable estimate of harm and not as a penalty. [Enforceability varies by jurisdiction — confirm with counsel.]
(c) Additional Damages. Liquidated damages do not limit Principal's right to recover actual damages, lost profits, disgorgement of any payments Housekeeper received from third parties (e.g., tabloids, tipsters) in connection with a breach, and any other remedy at law or equity.
(d) Attorneys' Fees. The prevailing Party in any enforcement action is entitled to recover reasonable attorneys' fees and costs.
14. Non-Disparagement
Housekeeper shall not make, publish, or communicate any false, misleading, or disparaging statement about any Protected Party. Nothing prevents truthful testimony required by law or reporting suspected unlawful conduct to authorities.
15. Permitted Disclosures
Nothing in this Agreement prohibits Housekeeper from:
(a) reporting suspected violations of law to a government agency; (b) cooperating with a lawful subpoena or court order (with prompt written notice to Principal so Principal may seek a protective order, to the extent legally permitted); (c) exercising rights protected under applicable labor laws, including discussing wages and working conditions.
PART III — GENERAL PROVISIONS
16. Governing Law
This Agreement is governed by the laws of [STATE / COUNTRY], without regard to conflict-of-laws principles.
17. Jurisdiction
The Parties consent to the exclusive jurisdiction of the state and federal courts located in [COUNTY / CITY, STATE].
18. Severability
If any provision is held unenforceable, the remainder remains in full force and the unenforceable provision shall be reformed to the minimum extent necessary to make it enforceable.
19. Entire Agreement
This Agreement is the entire understanding between the Parties and supersedes all prior agreements on its subject matter.
20. Amendment
This Agreement may be modified only by a writing signed by both Parties.
21. Assignment
Principal may assign this Agreement to successors and affiliated entities. Housekeeper may not assign it.
