I am, however, willing to not sue you so long as all parties are cooperatively working towards resolution. That would require you, your brother and Ms. Kochar to stop diverting funds and business from Load Karma, and instead devote your attention to winding down this business and collecting and retaining all funds due it. Specifically: Kelvin will manage operations through the end of the year. Karam and Jas would continue sales, utilize India sales force with single agreed monthly payment to India. Vivek would manage TMS system used by Karam and Jas, under Vivek’s management, to continue bookings through December 31, 2025. Kelvin would manage finances, using QuickBooks, run by Anthony, to generate invoices and record collections Anthony will manage the books, with full transparency to Karam and Jas. Sapna and ZAMS are out, and Kelvin has already revoked their access to QuickBooks, TMS system, Bank of America Cash Pro. The parties need to resolve Load Karma liabilities, and related personal liabilities of shareholders. That includes that Load Karma will not accept any monies from RTS Financial Services, and the parties must acknowledge that the company will use first dollars available to retire the obligations on which Kelvin has assumed personal liability (WebBank Note: $45,000 outstanding, LOC: $40,000 outstanding, Tesla TD Auto Finance: $39,000 outstanding, and the company owes $48,000 to Kanex Pro. The company also needs to resolve the $965,000 SBA loan on 9377 Haven on which Vivek, Karam and Jas are personally liable. The parties would agree that Kelvin may retain a broker to sell the property for an amount sufficient to pay the loan, plus the pre-payment penalty. If it can be sold for more, great, but the key is to pay the loan. The company must collect all available A/R, with full assistance from Karam and Jas, and their disclosure of what on the books is real A/R from third parties, and a recognition that they owe $150,000 on the A/R due from Load Konnect and Abacus Transport. With full effort from all parties, the company should be in a position in 90-120 days to resolve all outstanding third party claims and reconcile the books. Kelvin and Vivek would be willing to resign from Load Karma and you and your brother can keep the business. The price for that, and compensation from you and your brother for the actions described in the complaint, would be deferred so long as the parties cooperatively, and enthusiastically, carried out the above plan. It describes how you both have violated your obligations to Load Karma, Inc., including by operating a competing business, Load Konnect, Inc., which skimmed profits from clients due to Load Karma, by taking a secret interest in Abacus Transport, LLC, which overcharged Load Karma, and by bribing a representative of a key client of Load Karma to look the other way while you overcharged the client, causing that client to threaten to sue the Company for over $500,000. The lawsuit will also name Karamjeet Singh’s wife, who rigged the books of Load Karma, to prevent Mr. Yan from discovering your fraud. The lawsuit demands an injunction preventing you from funneling Load Karma clients to Load Konnect, and related relief. You are on notice that this relief will be sought in the immediately future, and demand is made that you cease and desist from any such activities immediately. Lawsuits are exceedingly unpleasant, and I write now to offer an opportunity to avoid litigation, as follows. There does not appear to be any scenario in which my client and you work together in the future, and your liabilities to the company cannot seriously be disputed. At the same time, Load Karma and Haven have assets, including Load Karma receivables that should be closed out, and it has debts that must be paid.
