It was good to meet with Vicky today. As Vivek disclosures to me the brothers has expressed they want to recruit him to a new company and bring customers over as they know I am working on a legal stands against them. With this in mind what options do we have to prevent them from doing more shady things during this legal process including stopping them from accounts payable or transferring money or business out? I have primary admin access to block them from Quickbooks, Bofa CashPro for vendor AP. I can with Anthony handle AP to vendors and collections in the meantime. I am gathering an organization chart of our India staff to continue business temporary as well can remove their access from TMS. Karam and Sapna(Legal name GAGANDEEP K KOCHHAR own/runs Zams Financials who does all the AP/AR book keeping and tax filing for all their companies which Load Karma pays 8k monthly as a vendor) holds the commission and kickback(Hourse Foods and many others I am not aware of) report very closely and will not share as many times I ask through the last 3 years.
I am thinking to bring claims against Load Konnect, Abacus Transport, Zams Financials, MedKarma(own/run by Jas and Karam )for $3 million for damages using Load Karma to illegally double book Load Konnect loads with no profits to Load Karma, using Load Karma resources(salary dispatchers, agents, accounting, TMS software technology), using Load Karma cash to fund their operations while not paying their invoices to Load Karma until I wrote them a demand email. Stealing customers and moving profits to Load Konnect while bringing illegal kickback claims to Load Karma. Load Konnect double booked 880k USD loads to Load Karma with no profits last 2 1/2 years base on the AR summary report attached. With an estimate 50% margin I estimate they profited over 500k USD and take no risk in cash/capital or operations.
1 million for legal liabilities to MSI, 1 million for Load Karma missed profits and operation use, 1 million to handle House Foods potential claims.
I have attached a screen shoot of excel list that Anthony is working on that shows 0 profit for every load Load Konnect use Load Karma for with full documents to back it up. Again that are thousands of loads he is gathering with supporting documents proof. He has identified some that are MSI and House Foods directly which they move profits to Load Konnect from direct Load Karma customers at the same time create illegal kickbacks liabilities back to Load Karma.
I am thinking to strip there voting rights and director position at the same time relief them of their duties/roles while Vivek and I sort everything out(not confirm just thinking as I am reviewing financial models of possible outcome.). Stop business with House Foods until further notice. Obtain Karam kickback report file is important and how they are paying kickbacks and themselves. Karam has a 120k w2 salary with commission but he said he has stop his commission to help company but I know this is BS and feel he found another way to pay himself or other in his family through the kickback scheme and from Load Konnect. Jas has a 50k w2 and has a COO title/role but has not done anything last 2 years. He has agree to go off payroll and just be silent shareholder while running MedKarma.
Vivek told me they said they will run and open another company with different people names(cousins, family etc). They have no money to pay anything.
What do I want or think is best? From the bringing I have express to them I wanted to take this company public and raise capital to build a service business that disrupt the industry without the stigma of frauds, scams, double broker etc. Investing in building our own TMS platform to use and resell. Develop “Load Assurance” service for shippers to purchase insurance on demand per load for lost, stolen, accidents, fraud scam etc. Resell our TMS platform for other brokers to subscript. We have investing 300k to build our TMS platform for loads management with Vivek heading this.
If I force the brothers out and make them pay damages the sales will be cut in half immediately and operations will freeze temporary due to India agents and operations there. I can restructure to hire locally with Vivek and new sales agent. Close down India operations, stop funding 25k monthly to Load Karma Innovations which was open by Jaspreet in which I have no oversight or bank access. It will be a big challenge for me but with Vivek to help I am considering. The problems are the pending legal claims from MSI and others I foresee coming.
Over lunch I discuss some options to Vivek including taking over Load Karma to restructure to position itself for sell or walk away with a buy out and invest the money into another company I have iolo Capital which has hedge funds that need Vivek to articulate technology stacks to build algorithm and quantitative trading while I focus on raising capital for the funds.
Either way the brothers will not run Load Karma without Vivek and he does not want to stay in business with them as he as express to me and Vicky today. Vivek keeps insisting that both of us do something else together which I fully trust him and have the same aligning in ethics, integrity and engineering minds.
I have attached a response from Sunita as well. Not sure how to handle this without another lawyer for Load Karma. I want to replace Sunita. Any recommendation or advise?

I have many documents and files for the legal claims showing transactions between Load Karma as vendor to Load Konnect as customer with zero profits while using Load Karma carriers/trucking to double book Load Konnect customers(which are Load Karma customers as well MSI, House Foods) loads.
At the same time leaving the carrier/trucking bill for Load Karma to pay which cause cash/payment issues when Load Konnect are very late to pay back Load Karma zero profit invoices. There are hundreds if not thousands of transactions like these which my staff accountant is working for KanexPro is gathering all supporting documents. I will bring few we found today to our meeting. The rest will be digitally organized.
I am still not sure how kickbacks are done by Karam scheme. I assume he moves MSI, House Foods loads to Load Konnect and make profit margins, commission and kickback to MSI, House Foods people. Which MSI found out and brought legal claims to Load Karma and Load Konnect.
I think we need to issue discovery on the following companies Jaspreet, Karam + wife Sapna formed and operating after Load Karma.

Write no more than that, but I want to be sure she does not treat your silence as acquiescence. Here’s why. That proposed email states that:

Really? The other shareholders did not know that? And exactly what investigation did Sunita do to determine that is a true admission? Because I bet they did know, and if you allow company counsel to make that representation, it would be an admission by the company that no corporate principal knew that Mr. Sandeep was an MSI employee. Because I intend to accuse the other shareholders of knowingly bribing Mr. Sandeep, putting the company in danger, and I do not want you to authorize company counsel to give an admission to the contrary, particularly an admission that I do not have any reason to believe to be true.
And MSI would not believe nor care about any such statement. They just want money. So what is the point of making that representation?

Pursuant to Sections 2(c) and 2(d) of the Non-Disclosure Agreement (“NDA”) between M S International, Inc. (“MSI”) and LoadKarma, Inc. (“LoadKarma”), our client has undertaken a good-faith and diligent investigation to determine whether any payments were made, directly or indirectly, to MSI employees.
On September 15, 2025, LoadKarma through its counsel, provided your office with the requested shipment data and related materials, including, excel spreadsheets detailing shipper and carrier information, shipment identifiers, freight payment data, and other relevant information. On September 16, LoadKarma also transmitted a zip file containing copies of the available Bills of Lading (BOLs). These BOLs were generated by MSI and given to drivers at the time of pickup or delivery—meaning MSI is already in possession of identical copies for all shipments coordinated through LoadKarma.
To clarify a key issue: LoadKarma had no knowledge that Mr. Sandeep G. was an employee of MSI when his services were engaged. Mr. Sandeep G. represented himself as an independent freight broker with his own customer base. LoadKarma relied on those representations in good faith. There was no intention to bypass MSI’s internal protocols or gain any improper advantage.
In an effort to move toward resolution and reaffirm its good-faith commitment, LoadKarma respectfully proposes the following:
Without admitting any liability or wrongdoing, LoadKarma is willing to offer a $50,000 concession toward future business transactions with MSI provided MSI resumes commercial dealings with LoadKarma. This concession would be in the form of future mutually agreeable terms—not as a deduction from outstanding accounts receivable owed to LoadKarma for services already rendered.
To that point, we respectfully request clarification on when LoadKarma can expect payment of its outstanding Account receivable balances , which remain due and payable. Prompt resolution of those outstanding amounts is necessary to ensure continued cooperation and business viability.
LoadKarma has ceased all business dealings with Mr. Sandeep G. and remains committed to conducting all operations with the utmost integrity, compliance, and accountability. All MSI shipments previously managed by LoadKarma were delivered on time, without incident, and at competitive market rates—reflecting the company’s reliability and performance.
LoadKarma values the relationship it built with MSI and would appreciate the opportunity to continue to earn MSI’s business under clear, transparent, and mutually respectful terms going forward.
